Filing LLC Articles of Amendment
What You Can Amend on Wyoming Articles of Organization
Not everything can be amended on your Articles of Organization. The following Articles can be changed at any time:
- Name of Your LLC
- Close LLC Election
- Mailing Address
- Principal Address
To change your mailing or principal address, you do not have to file an Amendment. You can also file an Update Form.
What You Cannot Ammend on Wyoming Articles of Organization
- Registered Agent Information
- Original Organizers
Your registered agent information can be changed, but you cannot make the change with an Amendment. You must file a Change of Registered Agent form with the Secretary of State.
Filing the Amendment
You must mail the Amendment to Articles of Organization to the Secretary of State’s office:
Secretary of State
State Capitol building, Room 110
200 West 24th Street
Cheyenne, WY 82002-0020
You must include payment of the $50 filing fee. Make checks or money orders payable to: Secretary of State.
Amendment vs Correction
An Amendment is different from a Correction. Amendments are filed to change the actual Articles themselves (to replace one address with another, for example). A Correction is filed to alter a mistake, such as the misspelling of a name.
If there is a simple spelling error on your Articles, do not file an Amendment to correct the mistake. File an LLC Articles of Correction form.
